These Terms of Service ("Terms") govern your access to and use of theLienChecker platform, including our web application, API, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Limitation of Liability & No Legal Advice — Read Carefully
LIENCHECKER IS AN AUTOMATED DOCUMENT FORMATTING AND TEXT-MATCHING TOOL. IT IS NOT A LICENSED ATTORNEY, TITLE AGENT, ESCROW OFFICER, FINANCIAL INSTITUTION, OR CONSTRUCTION LAW SPECIALIST.
The Service uses artificial intelligence to extract and compare text fields from uploaded documents. The output is informational only and does not constitute legal advice, financial advice, title clearance, or a guarantee that a lien waiver is valid, enforceable, or compliant with applicable state law.
YOU MUST INDEPENDENTLY VERIFY ALL AUDIT RESULTS WITH A LICENSED CONSTRUCTION ATTORNEY OR TITLE PROFESSIONAL BEFORE RELEASING ANY PAYMENT, DRAW, OR DISBURSEMENT. FAILURE TO DO SO IS SOLELY YOUR RESPONSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LIENCHECKER, ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR RELIANCE ON THE SERVICE, INCLUDING BUT NOT LIMITED TO IMPROPER PAYMENT RELEASES, LIEN CLAIMS, FINANCIAL LOSSES, OR CONSTRUCTION DISPUTES.
1. Acceptance of Terms
By creating an account, purchasing a subscription or pass, or otherwise accessing the Service, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.
2. Description of Service
LienChecker provides an AI-powered document comparison tool that extracts and cross-references data from subcontractor invoices and statutory lien waivers. The Service outputs a structured audit report highlighting potential discrepancies in amounts, addresses, signatures, and other fields.
The Service is intended for general contractors, construction managers, project owners, and their authorized agents who wish to perform a preliminary, non-binding review of draw documentation.
3. Subscriptions, Passes, and Payments
Access to the Service requires either an active monthly subscription ("Standard GC Plan" or "Enterprise GC Plan") or a one-time "5-Audit Pass." There is no free tier or free trial.
Standard GC Plan and Enterprise GC Plan are billed monthly at the rate displayed at checkout. Subscriptions renew automatically each billing period unless canceled prior to the renewal date.
5-Audit Pass grants five (5) non-transferable audit credits that do not expire. Credits are consumed one per successful audit completion.
All payments are processed by Stripe, Inc. By purchasing a plan, you also agree to Stripe's Terms of Service. LienChecker does not store payment card information.
4. Cancellation and Refunds
You may cancel your monthly subscription at any time through your account dashboard or by contacting support. Cancellation takes effect at the end of the current billing period; you will retain access until that date.
One-time 5-Audit Pass purchases are non-refundable once any credit has been consumed. If no credits have been used, refund requests submitted within 48 hours of purchase may be honored at our sole discretion.
We do not offer prorated refunds for partial subscription periods.
5. Acceptable Use
You agree not to:
- Upload documents containing malware, malicious code, or content designed to harm our systems.
- Attempt to reverse-engineer, scrape, or systematically extract data from the Service.
- Resell, sublicense, or redistribute access to the Service without our written consent.
- Use the Service to process documents you do not have the legal right to upload.
- Use the Service for any unlawful purpose or in violation of any applicable regulation.
6. Intellectual Property
The Service, its source code, trademarks, and branding are the exclusive property of LienChecker. You retain all rights to the documents you upload. You grant LienChecker a limited, transient license to process your documents solely for the purpose of delivering the audit result. This license expires immediately upon completion of the request; no document data is retained.
7. Privacy and Data
Your use of the Service is also governed by our Privacy Policy, which describes our zero-data-retention architecture. Documents you upload are processed entirely in memory and are never written to disk or stored in any database.
8. Indemnification
You agree to indemnify, defend, and hold harmless LienChecker and its officers, directors, employees, and agents from any claims, liabilities, damages, fines, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-EXTRACTED DATA WILL BE ACCURATE OR COMPLETE.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. You waive any right to participate in a class-action lawsuit or class-wide arbitration.
11. Modifications
We may update these Terms at any time. Material changes will be communicated via email or a prominent notice in the Service at least 14 days before taking effect. Your continued use after the effective date constitutes acceptance of the revised Terms.
